Terms of Use
1. ACCEPTANCE, AUTHORITY, AND ELIGIBILITY
These Terms form a binding agreement between you and TacRight. By selecting “Agree to TacRight’s Terms and Conditions,” creating a TacRight account, or using TacRight, you confirm that you have read and accept these Terms and acknowledge the Privacy Policy. If you do not agree, do not create or use an account.
You must be at least 16 years old and legally capable of entering this agreement. If the age of legal capacity where you live is higher, a parent, guardian, or other legally authorized person must provide any consent required by law. If you use TacRight for a business or another person, you confirm that you have authority to act for and bind that business or person and that they have received any legally required notices.
The Privacy Policy explains TacRight’s data practices. AI extraction is required only when you choose to scan or upload a receipt. Contribution to shared material-price research is optional and can be changed in Legal & Privacy settings. You may always enter an expense manually without a receipt.
2. TACRIGHT’S ROLE
TacRight provides recordkeeping, estimating, quoting, invoicing, job-costing, expense, receipt-scanning, material-catalog, and business-analysis tools for fabricators and small shops. Features may include automated calculations, OCR, AI extraction, suggested material prices, tax-rate fields, currency conversion, PDFs, profitability reports, and services operated by third parties.
TacRight is only a software tool. TacRight is not a party to any quote, contract, purchase, sale, job, invoice, employment relationship, tax filing, customer promise, supplier transaction, or dispute involving a user. You control and are responsible for your business, work, prices, documents, customers, suppliers, taxes, regulatory compliance, and decisions.
3. NO PROFESSIONAL OR SAFETY ADVICE
TacRight does not provide engineering, structural, welding, metallurgical, architectural, safety, building-code, legal, tax, accounting, investment, insurance, employment, or other professional advice. TacRight outputs are not certified drawings, specifications, inspections, testing, professional opinions, supplier confirmations, permits, or approvals.
Never use TacRight as the sole basis for load-bearing design, life-safety work, hazardous work, regulated work, code compliance, material selection, or any decision that could cause death, injury, property or environmental damage, legal exposure, or financial loss. Obtain qualified advice, certified plans, permits, testing, inspections, manufacturer information, and supplier confirmation where appropriate. Follow applicable laws, codes, standards, procedures, and safety requirements.
4. YOU MUST VERIFY EVERY OUTPUT
You must independently review and verify every input and output before relying on it or providing it to anyone. This includes dimensions, units, grades, alloys, coatings, finishes, tolerances, stock lengths, weights, quantities, waste factors, compatibility, labour hours, pay rates, process add-ons, overhead, margins, profit, discounts, deposits, totals, payment terms, supplier and catalog prices, package quantities, freight, duties, exchange rates, tax rates, tax inclusion, exemptions, availability, lead time, customer details, dates, document numbers, receipt images, OCR text, merchant and item names, quantities, AI matches, PDFs, reports, recommendations, and calculations.
You are responsible for correcting mistakes and for every quote, invoice, purchase, promise, price, filing, and business or fabrication decision based on TacRight information. You must keep independent copies of business-critical records and must not use TacRight as your only backup, tax record, contract archive, or proof of a transaction.
5. MATERIAL PRICES, TAXES, AND CURRENCY
Catalog, community, supplier, regional, and receipt-derived prices are estimates and reference information. They are not supplier offers, appraisals, guarantees, or promises that material is available or suitable. Information may be stale, incomplete, incorrectly matched, based on limited sources, or affected by quantity, grade, certification, finish, location, freight, duties, minimum order, cutting fees, discounts, market movement, and taxes.
Currency conversions and location-based tax suggestions may be approximate, delayed, incomplete, or based on user-entered or third-party information. TacRight does not determine your tax obligations, registration status, exemptions, filing treatment, or legally required invoice format. Confirm current specifications, prices, availability, currency, tax, duties, and freight with suppliers and qualified advisers before quoting, purchasing, invoicing, or filing.
6. QUOTES, INVOICES, AND CUSTOMER RELATIONSHIPS
Quotes, invoices, reports, and PDFs are prepared from information you provide and choices you make. You are the issuer of those documents. You are responsible for their accuracy, wording, enforceability, taxes, disclosures, warranties, payment terms, delivery, customer approval, and retention. TacRight does not guarantee that a quote will be accepted, that an invoice will be paid, or that a document satisfies any legal, accounting, tax, or industry requirement.
7. OCR, AI, AND AUTOMATION
OCR, AI, matching, and other automated features can misread, omit, infer, combine, or fabricate information. They may identify the wrong merchant, material, fastener, specification, quantity, package size, currency, tax treatment, date, price, customer, or document. Always compare extracted information with the original receipt or source.
Before your first receipt scan, TacRight explains that the selected receipt image and extracted text are transmitted through Supabase to OpenAI for expense-field extraction. You may separately choose whether minimized material-price information from future receipts contributes to shared price research. Research contribution is optional, can be disabled in Legal & Privacy settings, and never changes catalog prices automatically. The Privacy Policy describes the information, providers, retention, and safeguards.
Your receipt-processing permission and separate research choice are saved for future scans. TacRight does not ask again for each ordinary receipt while that permission remains valid; a material change to receipt processing may require a new choice. Accepting these Terms alone does not grant receipt AI or research permission. You can cancel the receipt prompt and enter an expense manually instead.
8. USER CONTENT AND PERMISSION
User Content includes shop information, personal and customer contact information, material prices, receipts, photographs, quotes, invoices, jobs, time records, notes, files, and anything else submitted to TacRight. You keep your ownership rights in User Content.
You give TacRight and its service providers a non-exclusive, worldwide, limited licence to host, copy, transmit, encrypt, process, reproduce, format, and display User Content only as reasonably necessary to provide, secure, support, and maintain requested features, perform the receipt processing disclosed in the Privacy Policy, and comply with law.
You confirm that you have all rights, authority, notices, and consents required to submit and process User Content, including information about customers, employees, suppliers, and other individuals. Do not upload content you do not have authority to use. Minimize personal information. Do not upload full payment-card numbers, bank credentials, government identifiers, health information, passwords, or unrelated sensitive information. You are responsible for lawfully notifying customers or other people whose information you enter.
9. ACCOUNT SECURITY
You are responsible for the security of your device, Apple or Google sign-in account, TacRight sessions, and authorized users. Provide accurate information, keep it current, prevent unauthorized access, and promptly notify tacrightsupport@gmail.com of suspected compromise. TacRight may suspend access or impose reasonable storage, file-size, rate, or usage limits to protect users, the service, or third parties.
10. ACCEPTABLE USE
You must not use TacRight unlawfully; commit fraud; violate rights; upload malicious, deceptive, infringing, or unauthorized content; probe or bypass security; access another account; introduce malware; interfere with the service; evade limits; scrape or bulk-export the shared catalog outside authorized features; reverse engineer except where law expressly permits; or falsely present TacRight information as certified, professionally approved, guaranteed, or supplied by a source that did not provide it.
11. SUBSCRIPTIONS AND APP STORE BILLING
Paid features, current prices, trial terms, renewal periods, and included functionality are displayed before purchase. App Store purchases and subscriptions are processed by Apple and are also subject to Apple’s terms. Subscriptions renew automatically unless cancelled through Apple Account settings within Apple’s required time. Deleting TacRight does not cancel an Apple subscription. Apple administers App Store refund requests under its policies and applicable law. TacRight does not receive full App Store payment-card details.
12. THIRD-PARTY SERVICES AND SOURCES
TacRight may depend on Apple, Google, Supabase, OpenAI, RevenueCat, suppliers, pricing sources, operating-system services, and other providers. Their terms and privacy practices may apply. TacRight does not control and, to the maximum extent permitted by law, is not responsible for their outages, acts, omissions, security incidents, services, websites, or content. A reference to a supplier, source, or product does not imply affiliation, sponsorship, endorsement, authorization, or guaranteed availability.
13. INTELLECTUAL PROPERTY AND FEEDBACK
Other than User Content and third-party material, TacRight’s software, branding, design, documentation, databases, and content are owned by or licensed to TacRight and protected by law. You receive only a limited, revocable, non-transferable right to use TacRight for lawful internal business purposes while your account is active.
If you voluntarily provide product feedback, TacRight may use it without restriction or compensation. Feedback does not authorize TacRight to use personal information or receipts beyond the Privacy Policy.
14. SERVICE CHANGES, AVAILABILITY, AND BACKUPS
TacRight may add, change, correct, suspend, or discontinue features and catalog information. The service may be unavailable, delayed, interrupted, corrupted, or lost. Maintenance, internet service, devices, operating systems, third parties, security events, and other causes can affect availability. Features identified as beta, preview, experimental, AI, estimated, or research may be incomplete and especially prone to error.
Maintain independent and legally sufficient copies of receipts, quotes, invoices, customer contracts, tax records, and other important information. TacRight does not promise uninterrupted availability, permanent storage, or recovery of lost data.
15. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACRIGHT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL. THIS INCLUDES WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, RESULTS, AND COMPATIBILITY.
TACRIGHT DOES NOT WARRANT THAT OUTPUTS, CALCULATIONS, TAXES, PRICES, AI OR OCR RESULTS, DOCUMENTS, OR STORED DATA ARE ACCURATE, COMPLETE, CURRENT, RECOVERABLE, OR SUITABLE FOR A PARTICULAR JOB, CUSTOMER, OR LEGAL REQUIREMENT. NOTHING IN THESE TERMS EXCLUDES A STATUTORY RIGHT, WARRANTY, CONDITION, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACRIGHT AND ITS OWNER, PERSONNEL, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS; LOST PROFIT, REVENUE, SAVINGS, OPPORTUNITY, BUSINESS, GOODWILL, OR DATA; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; CUSTOMER OR SUPPLIER DISPUTES; TAX, INTEREST, OR PENALTIES; INCORRECT QUOTES OR INVOICES; REWORK, SCRAP, MATERIAL, FREIGHT, LABOUR, DELAY, OR RECALL COSTS; PROPERTY DAMAGE; PERSONAL INJURY; OR CLAIMS ARISING FROM RELIANCE ON PRICES, CALCULATIONS, AI OR OCR OUTPUT, MATERIAL SPECIFICATIONS, TAX SUGGESTIONS, CURRENCY CONVERSION, OR OTHER TACRIGHT CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACRIGHT’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO TACRIGHT OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR TACRIGHT DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND CAD $100.
These exclusions and limits apply regardless of the legal theory, even if a remedy fails of its essential purpose or a party was advised that loss was possible. They do not apply where prohibited by law, including liability that cannot legally be excluded for fraud, wilful misconduct, gross negligence, death or personal injury, privacy violations, or mandatory consumer rights.
17. BUSINESS-USER INDEMNITY
To the maximum extent permitted by law, if you use TacRight for a business, you will defend, indemnify, and hold harmless TacRight and its owner, personnel, contractors, licensors, and service providers from third-party claims, losses, penalties, costs, and reasonable legal fees arising from your User Content, products or services, unsafe or unlawful work, customer or supplier relationships, legal violations, rights infringement, misuse of TacRight, or breach of these Terms. This does not require indemnification for conduct that cannot lawfully be indemnified or for the protected party’s own fraud, wilful misconduct, or other non-indemnifiable conduct.
18. SUSPENSION, TERMINATION, AND DELETION
You may stop using TacRight and request account deletion through the in-app process. Cancel App Store subscriptions separately. Export required records before deletion because deletion may be irreversible. TacRight may suspend or terminate access for a material breach, fraud, security risk, unlawful use, non-payment, a legal requirement, or discontinuation, with notice where reasonably practicable.
Active account data is retained while your account is active. On deletion, information is removed from active systems as described in the Privacy Policy. Limited information may remain in protected backups, security, consent, accounting, dispute, or legally required records for up to one year after deletion or longer when law requires. Sections that should logically survive termination, including ownership, disclaimers, liability limits, indemnity, lawful retention, and dispute terms, will survive.
19. COMPLIANCE, EXPORT CONTROLS, AND SANCTIONS
You are responsible for laws applicable to your business, customers, fabrication work, records, employment, taxes, exports, imports, sanctions, and use of software or technical information. Do not use TacRight where prohibited or by or for prohibited persons, entities, territories, or activities.
20. GOVERNING LAW AND COURTS
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, excluding conflict-of-law rules, subject to any mandatory consumer law that applies where you live. The parties submit to the courts of British Columbia, Canada for disputes arising from TacRight or these Terms, except where mandatory law gives you another right or forum.
21. APPLE TERMS
Apple is not a party to these Terms and is not responsible for TacRight, support, maintenance, claims, or compliance except as Apple’s terms provide. Use through Apple platforms is also subject to Apple’s Standard EULA unless TacRight supplies a valid custom EULA. Apple and its subsidiaries are third-party beneficiaries where required by Apple’s minimum EULA terms.
22. GENERAL TERMS AND CONTACT
These Terms, the Privacy Policy, purchase disclosures, and expressly incorporated policies form the entire agreement concerning TacRight. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign this agreement without consent. TacRight may assign it in a lawful reorganization, financing, merger, or sale, subject to privacy law. Electronic notices and acceptance are permitted. Mandatory law controls any conflict.
